These Terms of Service (“Terms”) govern your access to and use of iDowny, including our macOS application, website, and related services (collectively, the “Service”), offered by the operator of iDowny (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you disagree, do not use the Service.

Acceptance

You represent that you are of legal age to enter a binding contract in your jurisdiction and that you have authority to bind any organization on whose behalf you use the Service. Your use of paid features is also subject to our End User License Agreement and refund policy where applicable.

Service Description

iDowny is a software tool that helps users download or process media from third-party sources in accordance with applicable law and the terms of those sources. We do not host the underlying media. Features, supported sites, and technical behavior may change over time.

Accounts and Licenses

Access to certain features may require a valid license or purchase. Licenses are personal or limited as stated at purchase. You are responsible for safeguarding credentials and for all activity under your license. We may suspend or revoke access for breach of these Terms or for fraud, abuse, or non-payment.

Payment Terms

Fees, billing cycles, and taxes are displayed at checkout. Payments are processed by third-party providers (such as PayPal). You authorize us and our payment partners to charge your selected payment method. All sales are subject to our Refund Policy unless otherwise required by law.

Acceptable Use

You agree not to:

  • Use the Service in violation of any law, regulation, or third-party rights;
  • Use the Service to access, copy, or distribute content you are not authorized to obtain or share;
  • Interfere with or disrupt the Service, circumvent security or licensing, or attempt unauthorized access to our systems;
  • Resell, sublicense, or redistribute the Service except as expressly permitted;
  • Use automated means to abuse licensing, support, or infrastructure.

Service Changes

We may modify, suspend, or discontinue parts of the Service with or without notice. We are not liable for any change, suspension, or discontinuation. Where materially affects paid users, we will use reasonable efforts to communicate significant changes as practicable for an independent software product.

Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR COMPATIBILITY WITH EVERY SITE OR FORMAT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR FIFTY U.S. DOLLARS (USD $50), WHICHEVER IS GREATER, SUBJECT TO APPLICABLE LAW.

Indemnification

You will defend, indemnify, and hold harmless us and our affiliates, contractors, and personnel from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

Dispute Resolution

You agree to first contact us to seek an informal resolution of any dispute. If a dispute cannot be resolved informally, the parties agree that exclusive jurisdiction and venue for any court proceedings shall be as specified in our governing law provision below, unless mandatory consumer protection law in your country provides otherwise.

These Terms are governed by the laws of the jurisdiction we designate on our website (or, if none, where we are established), excluding conflict-of-law rules.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
