End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“you” or “Licensee”) and the developer of iDowny (“Licensor,” “we,” or “us”) governing your use of the iDowny software application and related materials (“Software”). By installing, copying, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

License Grant

Subject to your compliance with this EULA and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on compatible devices that you own or control, solely for your personal or internal business purposes and in accordance with any documentation we provide.

The Software is licensed, not sold. Licensor and its licensors retain all rights not expressly granted to you.

Restrictions

You shall not, and shall not permit others to:

  • Copy, modify, adapt, translate, or create derivative works of the Software except as expressly allowed by applicable law;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the limited extent mandatory laws permit;
  • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your rights under this EULA;
  • Remove, alter, or obscure any proprietary notices on the Software;
  • Use the Software to violate any law or third-party rights, or to circumvent technical measures protecting content or services;
  • Use the Software in any manner that could damage, disable, overburden, or impair Licensor’s or third parties’ systems or networks.

Intellectual Property

The Software, including all code, user interface, documentation, trademarks, and related materials, is owned by Licensor and its licensors and is protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any rights to Licensor’s trademarks or branding.

Third-Party Content

The Software may enable access to or retrieval of content from third-party websites or services. Such content is not owned or controlled by Licensor. Your use of third-party content is subject to the terms and policies of those third parties and applicable law. Licensor does not endorse and is not responsible for third-party content.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LICENSOR’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50), IF APPLICABLE LAW DOES NOT PERMIT A LOWER CAP.

Some jurisdictions do not allow certain limitations; in those cases, Licensor’s liability is limited to the fullest extent permitted by law.

Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically without notice if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Provisions that by their nature should survive (including disclaimers, limitations of liability, and governing law) shall survive termination.

Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction Licensor designates in writing from time to time (or, if none is designated, the laws applicable where Licensor is established), without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
